Terms and Conditions

Welcome to Logic Bloom AI Ltd ("Logic Bloom AI", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your use of our website, software, platforms, applications, systems, consulting services, and all related products and services (collectively, the "Services"). By accessing, browsing, or otherwise using any part of our Services, you accept and agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines we may provide.


1. About Logic Bloom AI

Logic Bloom AI Ltd is a New Zealand-based AI development and automation company specializing in the design, implementation, and management of custom artificial intelligence solutions for a wide range of industries, including but not limited to healthcare, legal, retail, finance, education, and logistics. We develop secure, scalable, and ethically aligned AI tools that help businesses increase efficiency, automate processes, manage compliance, improve customer experiences, and drive innovation.

We are committed to creating AI that is responsible, transparent, and beneficial for both organizations and their end-users.


2. Acceptance of Terms

By accessing or using our Services, you affirm that you are at least 18 years of age or the legal age of majority in your jurisdiction and have the authority to enter into binding agreements. If you are using the Services on behalf of an entity, you confirm you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use our Services.


3. Scope of Services

Logic Bloom AI provides a diverse set of services, including but not limited to:

  • Custom-built AI chatbots and virtual assistants
     
  • Workflow and process automation systems
     
  • Predictive analytics and reporting dashboards
     
  • Compliance-focused AI monitoring and alert tools
     
  • Secure data integration with third-party platforms and APIs
     
  • Tailored consulting, deployment, and AI implementation services
     

Specific details about any engagement, including deliverables, timelines, and pricing, will be included in a separate service agreement or statement of work (SOW). These documents are legally binding and supersede these general Terms in case of conflict.


4. Client Responsibilities

To ensure a successful relationship, clients agree to:

  • Provide accurate, complete, and up-to-date information as required for configuration, onboarding, or delivery of the Services.
     
  • Use the Services only for lawful purposes and in accordance with all applicable local, national, and international laws.
     
  • Keep access credentials secure and confidential.
     
  • Notify Logic Bloom AI immediately in the event of any unauthorized access, suspected breach, or misuse of Services.
     
  • Ensure any content or data provided to Logic Bloom AI does not infringe upon any third-party rights or violate laws.
     

Failure to adhere to these responsibilities may result in service suspension or termination.


5. Data Ownership, Use, and Protection


5.1 Data Ownership

All client data remains the property of the client. Logic Bloom AI does not claim ownership over data submitted to the Services. We may process client data solely for the purpose of delivering and improving the Services.


5.2 Data Use

We do not sell, rent, or disclose client data to third parties except:

  • As required by law or legal process.
     
  • With the client’s written consent.
     
  • To trusted service providers under strict confidentiality agreements for the purpose of providing the Services.
     


5.3 Data Protection

We employ industry-standard measures to protect data, including:

  • AES-256 encryption for stored data
     
  • TLS/SSL for data in transit
     
  • Access control policies
     
  • Data backup protocols
     
  • Audit logs and monitoring
     

Clients are responsible for ensuring that their own systems and data sharing practices meet their internal compliance standards. Additional data protection measures may be available upon request or as required under specific service agreements.


6. Compliance and Regulatory Support

Logic Bloom AI supports clients in maintaining compliance with relevant regulations including:

  • New Zealand Privacy Act
     
  • Health Information Privacy Standards (HIPS)
     
  • General Data Protection Regulation (GDPR)
     
  • Payment Card Industry Data Security Standard (PCI DSS)
     
  • Other regional or industry-specific compliance standards
     

While we assist with compliance through secure architectures, automated alerts, and policy enforcement features, ultimate responsibility for legal and regulatory compliance remains with the client.


7. Intellectual Property

Unless explicitly stated in a custom service agreement:

  • All software, designs, workflows, algorithms, documentation, and related materials developed or provided by Logic Bloom AI are owned solely by Logic Bloom AI.
     
  • Clients are granted a non-exclusive, non-transferable, limited license to use the Services for their internal business purposes only.
     
  • Clients may not copy, modify, distribute, sell, sublicense, or reverse engineer any part of the Services.
     
  • All Logic Bloom AI trademarks, branding, and logos are proprietary and may not be used without express written permission.
     


8. Third-Party Services and Integrations

The Services may include integrations with third-party platforms (e.g., Cal.com, Zapier, OpenAI APIs). While Logic Bloom AI makes reasonable efforts to ensure compatibility, we are not responsible for the reliability, data handling, privacy practices, or availability of third-party services.

Clients are solely responsible for reviewing and complying with the terms of use of any third-party service.


9. Fees, Invoicing, and Refund Policy


9.1 Payment Terms

  • Fees are outlined in your agreement or subscription plan.
     
  • Payments are due within 14 days of the invoice date unless otherwise agreed in writing.
     
  • All prices are exclusive of taxes, which will be added as required by law.
     


9.2 Late Payments

  • Accounts with overdue balances may be suspended or terminated.
     
  • A late fee of 2% per month or the maximum allowed by law may be applied.
     


9.3 Refunds

  • Custom development work and consulting services are non-refundable once delivered.
     
  • Subscription plans may be cancelled before the next billing cycle to avoid charges.
     
  • Refunds will not be issued for partial use, third-party service outages, or lack of client participation unless specified in the agreement.
     


10. Service Availability and Support

We aim for a minimum 99% uptime for our hosted services. Scheduled maintenance will be communicated in advance. In the case of downtime:

  • Logic Bloom AI will make reasonable efforts to resolve issues as quickly as possible.
     
  • Priority support is available to enterprise clients.
     
  • Technical support hours and response times will be defined in the service agreement or SLA.
     


11. Warranties and Disclaimers

Logic Bloom AI provides the Services on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including:

  • Fitness for a particular purpose
     
  • Non-infringement
     
  • Accuracy, completeness, or reliability of AI outputs
     

Clients acknowledge that AI-driven tools may generate imperfect or probabilistic results. Use of outputs should be supervised and validated in sensitive or critical applications.


12. Limitation of Liability

To the fullest extent permitted by law, Logic Bloom AI is not liable for:

  • Loss of profits, data, or business opportunities
     
  • Business interruption or reputational harm
     
  • Any indirect, incidental, special, or consequential damages
     

Our maximum aggregate liability shall not exceed the fees paid by the client in the 90 days preceding the event giving rise to the claim.


13. Indemnification

You agree to indemnify, defend, and hold harmless Logic Bloom AI and its officers, employees, affiliates, and subcontractors from any claims, damages, losses, or expenses arising from:

  • Your breach of these Terms
     
  • Your misuse of the Services
     
  • Your violation of applicable law or third-party rights
     


14. Termination

We may suspend or terminate access to the Services immediately if:

  • You breach these Terms or any applicable agreement
     
  • Your account is inactive or unpaid for an extended period
     
  • Continued use poses a security or reputational risk
     

Upon termination:

  • Access rights will be revoked
     
  • You must cease use of all Services and licensed materials
     
  • Data may be deleted after 30 days unless otherwise agreed
     


15. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or customer information disclosed under this relationship. This obligation remains in effect for 5 years after termination of the Services.

Exceptions include information:

  • Already in the public domain
     
  • Rightfully disclosed by a third party
     
  • Required to be disclosed by law or court order
     


16. Force Majeure

Logic Bloom AI is not liable for failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, internet outages, cyberattacks, government actions, or labor disputes.


17. Dispute Resolution

We aim to resolve all issues amicably. If a dispute arises:

  1. Both parties agree to first attempt resolution through informal negotiation.
     
  2. If unresolved, mediation will be pursued in New Zealand.
     
  3. If still unresolved, legal action may be taken under the jurisdiction of the courts of New Zealand.
     


18. Changes to Terms

We reserve the right to modify these Terms at any time. Significant changes will be posted on our website and emailed to clients. Continued use of the Services constitutes acceptance of the revised Terms.
